The following terms and conditions govern all use of the MyBasicCRM.com website and all content, services and products available at or through the website (“Service” or “Services”).
The Service is owned and operated by Biqode Analytics Inc. located in Canada, at Robson Square 777 Hornby St. Suite 600, Vancouver, BC V6Z 1S4 (“MyBasicCRM”). The Services are offered subject to your acceptance and without modification of all of the terms and conditions contained herein and all other operating rules defined below. Please read this agreement carefully before you access or start to use the Services. By accessing or using any part of the Services, you agree to be bound by the terms and conditions of this agreement. If you do not agree to all the terms and conditions of this agreement then you must stop accessing or using any Services. If the terms of Services in this agreement are considered an offer, acceptance is expressly limited to these terms of Services.
Registration
You must be at least thirteen (13) years of age, or sixteen (16) years of age if you are an individual within the European Union (EU), or of the legal age of majority in your jurisdiction, and possess the legal authority, right and freedom to form a binding agreement, for yourself or on behalf of the person or entity committed by you to the terms and conditions of this agreement. You must provide accurate and complete information requested as a part of the registration (signup) process. The security of your password and account name are solely your responsibility. You are responsible for maintaining the security of your username and password. MyBasicCRM cannot be held responsible or liable for any loss resulting from the failure to comply with this security obligation. MyBasicCRM subscriptions must be purchased and paid for on behalf of yourself or your company, and for all users in your company. Users with administrator rights may grant and abolish rights to other users. Technical support is provided via email and phone or as described on the website. MyBasicCRM reserves the right to refuse support for any reason and terminate the account in the event of any abuse of any user or employee.
Payment
A valid and up-to-date credit card information(or any other valid payment method, if made available by MyBasicCRM) is required to maintain an active account 30 days after the end of the start of the Service. The fee for the Services is billed monthly in advance and is non-refundable. You authorize us to charge your credit card (or other payment method such as bank account) for the initial subscription term and any subsequent renewals. All fees issued by MyBasicCRM are exclusive of taxes, levies, or duties imposed by the relevant taxing authorities, and you shall be responsible for payment of all such taxes, levies, or duties.
Termination and Cancellation
You are solely responsible for properly cancelling your account and request by email, or phone call is not considered cancellation. Cancellation can be made under account settings by users having administrator rights. If you cancel your account in advance of your billing date for the upcoming month, your credit card will not be charged again. MyBasicCRM, in its sole discretion, reserves the right to suspend or terminate your account at any time, effective immediately and for any reason with or without cause and notice if it deems such action necessary. MyBasicCRM reserves the right to refuse the Service or impose limitations to anyone, at any time, and for any reason. Upon termination, suspension or cancellation, all of the information in your account is subject to deletion after the information (records in SQL format and documents and images in compressed folders) is transferred to the FTP address that you have provided. Should any of your data remain after cancellation, no data will be viewed or disseminated in any way. You acknowledge and understand that MyBasicCRM uses third party vendors and hosting partners to provide the necessary infrastructure to provide the Services. If your content or use of the Services abnormally exceeds the average usage level, then MyBasicCRM reserves the right to deactivate your account without your consent, and you may request full deletion of your data.
Modification of the Terms, Services and Prices
MyBasicCRM reserves the right to change the fees for the Services and to start charging for the use of Services that are currently available free of charge with notice to be provided via website or email notification to the address provided upon registration. MyBasicCRM reserves the right to make modifications or discontinue the Services or any part of the Services at any time or from time to time, temporarily or permanently with or without notice. MyBasicCRM will not be liable to you or any third party for any modification, price change, suspension, or discontinuance of the Services. This agreement may be modified by MyBasicCRM in its sole discretion from time to time, and such modifications will become part of this agreement and will be effective once posted on the website. You should review the website and this agreement from time to time for any modifications. Your continued use of the Services will be taken as your agreement to the modified terms.
Copyright and Content
You have the ownership of and intellectual property rights over any content added to your account. You may not use the Services in violation of any laws, including but not limited to copyright laws, in the country you operate in, as well as in the United States of America, Canada, the European Union, where some of our servers that host your data may be located in. You are responsible for all activity or content that occurs under your account, including any activity or content created by others who are associated with users under your account. You are strictly forbidden to use the Services to transmit any malicious code, such as viruses or worm or other harmful or destructive content. MyBasicCRM reserves the right to remove your content at its discretion at any time, even though MyBasicCRM is not obligated to remove the content. You are not allowed to (and allow any third party to) copy, modify, sell, create a derivative work of, reverse engineer, duplicate or otherwise attempt to discover any source code the Services or part thereof, unless such activity is expressly permitted or required by law or has been expressly authorized by MyBasicCRM in writing.
Warranties and Limitation of Liability
Your use of the Services is undertaken at your own risk. The Services are presented “as is”, “with all faults” and “as available” basis, without any warranties of any kind, including any implied warranties or conditions of merchantability, fitness for a particular purpose, workmanlike effort, non-infringement, or any other warranty – all to the fullest extent permitted by law. MyBasicCRM does not expressly guarantee or warrant that your use of the Service will meet your requirements, nor that your use of the Service will be uninterrupted or free from error. MyBasicCRM does not expressly guarantee that any and all defects in the operation of the Service will be corrected. The failure of MyBasicCRM to exercise or enforce any right or provision of the terms of this agreement shall not constitute a waiver of such right or provision. The terms constitute the entire agreement between you and MyBasicCRM and govern your use of the Services, superseding any prior agreements between you and MyBasicCRM, including, but not limited to, any previos versions of the Terms of Services. Under no circumstance shall MyBasicCRM, its affiliates, officers, directors, shareholders, managers, employees, sub-contractors and agents be liable to you for any indirect, incidental, consequential, special, punitive or exemplary or consequential damages (including but not limited to loss of business, revenue, profits, use, data or other economic advantage), however, in any event, MyBasicCRM’s entire liability shall be limited to an amount not to exceed, in the aggregate for all claims, one month USD amounts paid by you as fees to use the Services.
Indemnification
You agree to indemnify, defend and hold harmless MyBasicCRM, its suppliers, its licensors, their respective directors, officers, employees, agents and its affiliates from and against any and all claims, liabilities, damages, suits, judgments, costs and expenses, including litigation costs and attorney's fees, arising out of your use of the Services, including but not limited to your negligent acts, errors or omissions, your violation of the terms of this agreement, violation of applicable laws or regulations, your transmission of any content, information, message or other materials on the internet.
